TERMS AND CONDITIONS

SocialTone™’s royalty free content licenses, each of which is associated with a particular Item of media or information (the “SocialTone.io Content”) grant you a per-item, lifetime non-transferable license (“SocialTone™ License”) for various uses set forth herein.

Provided you are an active paid SocialTone™ subscriber, each SocialTone™ License you opt into is recorded in SocialTone™ transaction records associated with your SocialTone™ account. You acknowledge and agree to the stated terms, conditions and limitations of use herein. In the event of a breach of this SocialTone™ License agreement, your rights to any SocialTone.io Content will be terminated effective immediately, and further action may be taken against you directly by the owner of the copyright.

SocialTone™ Licenses must be purchased directly from SocialTone.io or its integration partners. Unauthorized resale or redistribution of any SocialTone™ License or the SocialTone.io Content is prohibited.

RIGHTS GRANTED

IF YOU HAVE AN ACTIVE  PERSONAL SUBSCRIPTION IN GOOD STANDING:

You have the right to incorporate the SocialTone.io Content within any social platform or game posting you may devise. If the SocialTone.io Content is comprised of music, you may synchronize that music with audio and/or visual productions or applications such as:

• Online video for social platforms such as Facebook, Twitter, Instagram, Snapchat or other platforms with similar capabilities and end user affordances

• Online games, wherein the SocialTone.io is used solely as an enhancement of your player character or player character-specific actions or attributes

IF YOU HAVE AN ACTIVE SMALL BUSINESS OR ENTERPRISE SUBSCRIPTION IN GOOD STANDING:

You have the right to incorporate the SocialTone.io Content within certain productions as set forth below, provided the utilized SocialTone.io Content item listing specifies that Commercial Use is permitted, as set forth on the SocialTone.io website. Further, if the SocialTone.io Content is comprised of music, you may synchronize that music-based SocialTone.io Content with audio and/or visual productions or applications as set forth below.

Production forms and applications :

• Online video for social platforms

• Training, marketing & trade show  presentations

• Corporate videos & educational applications

• Web pages & multimedia presentations

• Online streaming and video broadcast sites such as YouTube

• Social Media such as Facebook, Twitter
PowerPoint & Flash productions

• Interactive programs, computer games & synchronized content for Apps

• Podcasts

All such applications, for both Personal and Commercial uses, shall hereinafter referred to as “the Production”.

You may create copies of the Production for distribution without limitations – no additional clearances or paperwork are required. You may also synchronize SocialTone.io Music an unlimited number of times and distribute the Production worldwide without restrictions. The rights and limitations to SocialTone.io Music as outlined in this SocialTone™ License agreement are in effect for the life of the Production and pass automatically to the End User of the Production. Please note however, that all rights not expressly granted within this SocialTone™ License agreement are reserved.

LIMITATIONS

Copyright infringement is a serious offense. SocialTone.io protects its copyrights and those of its content suppliers by all necessary means, including legal action. You are NOT authorized to:

• Synchronize SocialTone.io Content music in whole or in part without a valid and active SocialTone.io License.

• Make copies of any unsynchronized SocialTone.io music content, in any format.

• This SocialTone™ License has the sole purpose of granting you the rights to utilize the SocialTone.io Content for the uses described herein. If the content is music, you have only the rights to specific audio and/or visual synchronization of that music. The registered user is granted a single user license, meaning that only the registered user can use SocialTone.io Content. This SocialTone™ License is not transferable.

• Copy, duplicate, provide access to, sell, lease, loan or give away unsynchronized SocialTone.io Content music by any means including the World Wide Web, streaming audio or any delivery method now known or which shall become known.

• Transfer, re-record, copy or duplicate any SocialTone.io Content music, in whole or in part, for any purpose not authorized under the terms of this SocialTone™ License agreement.

• You may not transfer SocialTone.io Content electronically or via any peer to peer file sharing program, FTP site, service bureau operation, DRS, computer network or in any way not expressly allowed by SocialTone.io.

• Provide remote access to unsynchronized SocialTone.io Content music to any user except the registered user.

• Provide SocialTone.io Content music in whole or in part as mobile telecom audio content such as ring tones, ringback tones, soundscapes, multimedia messaging services (MMS), voice messaging, audio enhancements, greeting mail services, or other content applications now known or which shall become known.

• Provide SocialTone.io Content music in whole or in part within other mobile communications or entertainment applications, such as iTunes Apps, or as unsynchronized content offered in software packages.

• Provide SocialTone.io Content in whole or in part within retail toys, electronic sampling products or program chips.
Sell or otherwise dispose of computers, hard drives or discs or any other electronic storage media which contain SocialTone.io music content, unless all the SocialTone.io music content has been deleted.

All SocialTone.io Content music maintained on any computers, hard drives, discs or any other electronic storage media must be deleted before the disposal, transfer or sale of any computer, hard drive or disc that contains SocialTone.io Content music.
Change or alter in any way any SocialTone.io Content music owned or represented by SocialTone.io (for example, by adding instruments or lyrics).

NO PERFORMING RIGHTS

Performing rights represent the entitlement of music composers and publishers to benefit from the public performance of their compositions. Your SocialTone.io License does not permit you to utilize the SocialTone.io Content music in any form of public performance, whether live, digitally transmitted, or made available through terrestrial or any other form of broadcast. 

WARRANTY

SocialTone.io warrants that your use of SocialTone.io Music in accordance with this SocialTone™ License agreement does not infringe on any third party proprietary rights.

LIABILITY

SocialTone.io accepts no responsibility for any loss of business or business profits resulting directly or indirectly from the performance of any SocialTone.io Music. SocialTone.io’s liability is limited and restricted solely to replacement at no charge of the SocialTone.io Music in question.
